By purchasing goods or engaging services, you ("the Customer") agree to these Terms & Conditions.
Part 1: General Terms and Conditions (Applicable to All Transactions)
1. Definitions
- "Contract" denotes the agreement established between you and us for the purchase of goods or the procurement of services.
- "Goods" refers to any merchandise acquired by you from us, whether through in-store or online transactions.
- "Services" encompasses any services rendered by us, as specified in your quote or contract.
- "Order" constitutes your request to purchase Goods or Services from us.
- "Price" signifies the consideration payable for the Goods or Services, as mutually agreed upon and expressed in the specified currency.
- "Site" designates the location at which the Services are to be performed.
- "Artwork" refers to any designs, logos, text, or graphics provided by you or created by us for use in our Services.

2a. Legal Framework
These Terms & Conditions are structured in accordance with, and your statutory rights are protected by, the following UK legislation:
- Consumer Rights Act 2015 - Governs the supply of goods and services to consumers
- Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 - Applies to distance and off-premises contracts
- Sale of Goods Act 1979 - Establishes implied terms for the sale of goods
- Supply of Goods and Services Act 1982 - Covers the supply of services and goods in connection with services
- Unfair Contract Terms Act 1977 - Restricts the extent to which liability can be excluded
- Data Protection Act 2018 and UK GDPR - Governs the processing of personal data
- Copyright, Designs and Patents Act 1988 - Protects intellectual property rights
- Health and Safety at Work etc. Act 1974 - Applies to our installation and service activities
- Late Payment of Commercial Debts (Interest) Act 1998 - Governs interest on overdue commercial payments
Nothing in these terms seeks to exclude or limit rights that cannot lawfully be excluded or limited.
3. Basis of the Contract
- Any quotation provided by us does not constitute an offer to form a contract. It remains valid for the specified duration from its date of issue.
- Your Order represents an offer to purchase Goods or Services from us following these Terms & Conditions.
- A Contract is formed upon our acceptance of your Order, confirmed either in writing, verbally, or through the commencement of Services or dispatch of Goods.
- These Terms & Conditions embody the entirety of the agreement between you and us. Any other terms or conditions are explicitly excluded from this Contract.
4. Price and Payment
- The Price of the Goods or Services shall be as specified in our quotation or as mutually agreed at the point of sale.
- Unless explicitly stated, all Prices exclude VAT, applicable at the prevailing rate.
- We retain the right to adjust the Price in response to:
- Alterations in specifications requested by you
- Delays attributable to your instructions or failure to provide timely and accurate information
- Increases in material or labour costs beyond our reasonable control
- Changes to artwork or design requirements after initial approval
- Payment conditions are as follows:
- In-store sales: Payment is due at the time of purchase
- Online sales: Payment is required at checkout
- Services and custom work: Payment terms will be delineated in our quotation, typically involving an initial deposit followed by stage payments or final settlement upon completion
- Interest may be levied on overdue amounts at the rate of 4% per annum above the Bank of England base rate, calculated daily from the due date until payment is received.
5. Delivery of Goods
- Delivery timelines provided are estimates and not guaranteed. Time is not of the essence for delivery.
- We shall not be liable for delays in delivery resulting from circumstances beyond our reasonable control.
- You are required to accept delivery when Goods are tendered. Failure to do so may result in storage charges.
- Risk in the Goods transfers to you upon delivery or collection.
- Ownership of the Goods remains with us until full payment has been received.
- For large format printing and signage, delivery may require special arrangements which will be discussed at the time of ordering.
6. Your Obligations
You shall:
- Furnish accurate and comprehensive information as necessary for us to perform the Services or supply the Goods
- Ensure that any Site is prepared and accessible for the performance of Services
- Obtain all requisite permissions, licenses, and consents necessary for the Services
- Comply with all applicable laws and regulations
- Make timely payments as per the agreed terms
- Provide suitable artwork and designs in the required format and resolution
- Approve proofs and designs within reasonable timeframes
- Ensure you have the right to use any artwork, logos, or copyrighted material provided to us
7. Our Obligations
We shall:
- Supply Goods and Services with reasonable care and skill
- Ensure Goods conform to their description and are of satisfactory quality
- Perform Services within a reasonable timeframe
- Comply with all applicable laws and regulations
- Maintain appropriate insurance coverage
- Provide proofs for approval before proceeding with production where applicable
- Use materials and processes appropriate for the intended use
8. Warranty and Liability
- We warrant that:
- Goods will be free from material defects for 12 months from delivery
- Services will be performed with reasonable care and skill
- Digital printing and signage will be produced to industry standards
- Clothing will be free from defects in workmanship for 6 months from delivery
- Workmanship will be guaranteed for 3 months from completion of services
- Parts and labour will be warranted for 12 months from completion unless otherwise specified in the quote or contract
- Specialist Installation Warranties: Unless otherwise specified in the quote:
- Lift installations: Installation warranty as per quote
- HVAC systems: Manufacturer's warranty applies, installation warranty as per quote
- Flooring: 12-month installation warranty PROVIDED substrate was suitable at installation
- Electrical work: 12-month warranty on workmanship. Certification will be provided where specified in the quote
- Our liability is limited to:
- Replacement or repair of defective Goods
- Re-performance of defective Services
- Refund of the Price paid
- We shall not be liable for:
- Any indirect, consequential, special, or incidental losses whatsoever
- Loss of profits, business, revenue, goodwill, or opportunity
- Loss of anticipated savings or benefits
- Business interruption or inability to trade
- Costs of procuring substitute goods or services
- Staff costs, wages, or recruitment expenses
- Marketing, advertising, or promotional expenses
- Costs related to delayed shop openings or business launches
- Third party claims or losses
- Damage caused by misuse or failure to follow instructions
- Fading or deterioration due to normal weathering or use
- Errors in artwork or designs approved by you
- Any losses arising from delays, regardless of cause
- Our total liability shall not exceed the Price paid for the relevant Goods or Services.
- Comprehensive Exclusion of Liquidated Damages: Franco Group(UK) Ltd categorically rejects and shall not be liable for any form of liquidated damages, penalties, or pre-estimated damages under any circumstances. This absolute exclusion specifically includes but is not limited to:
- Any daily, weekly, or monthly penalty rates (including but not limited to £500 per day, £2,500 per week, or any other fixed rate penalties)
- Pre-determined or pre-estimated damages clauses of any nature
- Penalty clauses for delayed performance, delivery, or completion
- Fixed compensation amounts for breach of contract
- Automatic damage triggers based on dates or milestones
- Any damages related to delayed shop openings, business launches, or trading commencement
- Consequential losses including lost profits, business interruption, staff costs, or marketing expenses
9. Time and Completion
- Time Not of the Essence: Time shall NOT be of the essence in relation to any dates, timelines, or deadlines provided by Franco Group(UK) Ltd. All completion dates, delivery dates, and timeframes are estimates only and are non-binding.
- No Liability for Delays: We accept no liability whatsoever for delays in delivery or completion, regardless of the cause. This includes delays caused by supply chain issues, material shortages, staff availability, weather conditions, or any other factors.
- Right to Extend: We reserve the absolute right to extend any timeline or deadline without penalty, compensation, or liability.
- Customer Acceptance: Customers must accept delivery or completion when notified by us. Failure to accept shall result in storage charges at our standard rates.
- No Damages for Delay: Under no circumstances shall we be liable for any damages, losses, or costs arising from delays, including but not limited to delayed shop openings, missed trading periods, or lost business opportunities.
10. Payment Protection
- Payment Terms: Payment must be made strictly in accordance with agreed terms. Time for payment IS of the essence.
- Automatic Extension for Late Payment: If payment is not received within 2 days of our payment request, the completion/delivery date shall automatically extend by 7 calendar days for each instance of delayed payment. This extension is automatic and requires no notice.
- Right to Suspend: We may suspend all work immediately upon late payment without notice or liability.
- No Commencement Without Deposit: We have no obligation to commence work until agreed deposits are received in cleared funds.
- Retention of Title: All goods remain our property until paid in full. We may recover goods at any time before full payment.
- Price Variations: We reserve the right to increase prices for any scope changes, variations, or additional work requested.
11. Variations and Scope Changes
- Written Agreement Required: All variations must be agreed in writing with price confirmed BEFORE any work commences on the variation.
- Right to Refuse: We have absolute discretion to refuse any variation request without providing reasons.
- Customer-Caused Delays: Where delays are caused by customer actions, inactions, or changes, reasonable additional charges shall apply.
- No Implied Variations: No variation shall be implied from any conduct, discussion, or course of dealing.
12. Training and Handover
- Discretionary Training: Any training provided is entirely at our discretion and does not form part of our contractual obligations unless specifically agreed in writing.
- No Liability for Operation: We accept no liability for the customer's failure to operate, use, or maintain any goods or systems provided.
- Additional Training: Any training beyond initial handover (if provided) shall be charged at our standard hourly rates.
- Documentation: Where documentation is provided, the customer is responsible for reading and understanding it. We are not liable for failures resulting from non-compliance with documentation.
13. Intellectual Property and Artwork
- All intellectual property rights in any designs, specifications, or materials created by us remain our property unless specifically assigned in writing.
- You may not reproduce, modify, or distribute our intellectual property without prior written consent.
- You warrant that any materials provided by you do not infringe third-party intellectual property rights.
- You grant us a license to use any artwork or materials provided by you solely for the purpose of fulfilling your order.
- We reserve the right to use images of completed work for promotional purposes unless you specifically request otherwise in writing.
- Original artwork created specifically for your project will be provided to you upon full payment, with usage rights as agreed.
- Design Delivery and Watermarks: All designs and floor plans will be provided in PDF format with our company watermark as standard unless separately agreed otherwise in writing. You must not remove, alter, obscure, or attempt to remove our watermark from any designs or documents provided. Removal or alteration of watermarks constitutes intellectual property infringement and may result in legal action, including claims for damages and injunctive relief.
14. Termination
- Our Termination Rights: We may terminate the Contract:
- For convenience with 7 days written notice
- Immediately for non-payment
- Immediately if the customer becomes insolvent
- Immediately for any breach by the customer
- Customer Termination: The customer may terminate only:
- With 30 days written notice
- After payment for all work completed to date
- After payment for all materials ordered or committed
- Effects of Termination:
- All outstanding payments become immediately due
- All our intellectual property and designs remain our property
- We retain all rights to use any work created
- Customer must return all our materials and property
- No Refunds: No refunds shall be given for any termination, regardless of reason.
15. Enhanced Force Majeure
- Expanded Coverage: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:
- Acts of God, weather conditions, natural disasters
- War, terrorism, civil unrest, governmental actions
- Epidemic, pandemic, or health emergencies
- Strikes, labour disputes, staff shortages, or illness
- Supply chain disruptions or material shortages
- Failure of utilities or transportation
- Shortages of materials, components, or equipment
- Price increases in materials or components
- Subcontractor or supplier failures
- Any other circumstances beyond our reasonable control
- Our Rights: In case of Force Majeure, we may:
- Cancel the contract without liability
- Suspend performance indefinitely
- Extend timelines as we deem necessary
- Modify specifications or use alternative materials
- No Obligation to Mitigate: We have no obligation to source alternative materials or solutions at increased cost.
- Customer Obligations Continue: Customer payment obligations remain in full force during any Force Majeure event.
16. Data Protection
- We process personal data in accordance with applicable data protection laws and our Privacy Policy.
- We will only use your personal data for the purposes of fulfilling the Contract and as permitted by law.
- You consent to our use of your data for these purposes.
17. Governing Law and Jurisdiction
- These Terms & Conditions are governed by the laws of England and Wales.
- Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Part 2: Terms and Conditions for In-Store Sales
18. Returns and Refunds
- Items may be returned within 14 days of purchase if:
- They are in original condition and packaging
- Proof of purchase is provided
- They have not been used or installed
- They are not custom-made or personalized items
- Restocking Fee: A non-negotiable 20% restocking fee will apply to all returned items, whether for refund or exchange. The fee is calculated as 20% of the original purchase price (before any discounts) and covers the costs of inspection, repackaging, and restocking. The restocking fee will be deducted from your refund amount.
- Refunds will be processed using the original payment method within 14 days of accepting the return.
- We reserve the right to refuse returns that do not meet these conditions.
- Custom-made, personalized, or printed items cannot be returned unless faulty.
19. Faulty Goods
- If Goods are faulty, you have the right to:
- A repair or replacement within the first 30 days
- A repair, replacement, or partial refund after 30 days
- Your statutory rights are not affected by these terms.
Part 3: Terms and Conditions for Online Sales
20. Ordering Process
- Orders placed online constitute an offer to purchase.
- We will confirm receipt of your order by email.
- Acceptance occurs when we dispatch the Goods and send a dispatch confirmation.
- We reserve the right to refuse orders.
- For custom items, acceptance occurs when we confirm the design and specifications.
21. Cancellation Rights
- You have the right to cancel within 14 days of receiving the Goods.
- To cancel, you must inform us in writing and return the Goods at your expense.
- Goods must be returned in original condition.
- Refunds will be processed within 14 days of receiving the returned Goods.
- Custom-made or personalized items cannot be cancelled once production has commenced.
22. Delivery
- Delivery charges will be displayed at checkout.
- We aim to deliver within 3-5 working days unless otherwise stated.
- If delivery fails due to your absence or incorrect details, redelivery charges may apply.
- Large format items may require special delivery arrangements.
Part 4: Terms and Conditions for All Services
23. Application of Service Terms
These terms apply to all services provided by Franco Group(UK) Ltd as specified in your quote or contract, including but not limited to store fitting, refurbishment, signage, printing, personalization, clothing, and any other services we may offer. The specific scope of work, deliverables, and specifications will be detailed in the individual quote or contract provided for your project.
24. Site Access and Preparation
- You must ensure safe and unobstructed access to the Site.
- The Site must be cleared and prepared as agreed before work commences.
- Any delays due to Site access issues may incur additional charges.
- You must inform us of any hazards or restrictions at the Site.
25. Variations and Additional Work
- Any variations to the agreed scope must be confirmed in writing with price agreed BEFORE work commences.
- Additional work discovered during the project (including structural issues, compliance requirements, or client-requested changes) will be charged at our standard rates unless otherwise agreed.
- Quote Override Provision: Where specific terms are included in a written quote or contract, those terms shall take precedence over these general terms for that specific project only.
- We reserve the right to refuse variations that compromise safety, quality, or project timeline.
26. Health and Safety
- We will comply with all applicable health and safety regulations.
- You must provide any Site-specific safety information.
- Our personnel will use appropriate PPE and safety equipment.
- You must ensure the Site remains safe for our personnel and others.
27. Completion and Sign-off
- Upon completion, we will request your inspection and sign-off.
- Any defects must be notified within 7 days of completion.
- Sign-off constitutes acceptance of the work.
- We will remedy any justified defects within a reasonable timeframe.
28. Design Process and Approvals
- We will provide initial design concepts based on your brief where applicable.
- You will have up to 3 rounds of revisions included in the quoted price unless otherwise specified.
- Additional revisions beyond this may incur extra charges.
- Final approval must be given in writing before production commences.
- You are responsible for checking all text, spellings, and details in the final design.
- Changes after approval may result in additional costs and delays.
29. File Requirements and Technical Specifications
- Artwork must be supplied in high resolution (minimum 150dpi at final size) unless otherwise specified.
- Accepted file formats include PDF, AI, EPS, TIFF, and high-quality JPEG unless otherwise specified.
- Color matching cannot be guaranteed across different substrates and printing methods.
- We will provide a proof for approval on request.
- Additional charges may apply for file preparation or format conversion.
- We reserve the right to refuse files that do not meet technical requirements.
- Digitised File Ownership: All digitised files remain our property unless specifically purchased with a separate File Delivery & Licence Fee.
- We will retain digitised files for a period of 2 years from the last order, after which they may be deleted without notice.
30. Flooring Works - Additional Requirements
- Floor Preparation and Leveling: Unless specifically included in the quote, the price for flooring installation assumes existing floors are structurally sound and reasonably level (within industry tolerance of 3mm over 1m). Should floor leveling, structural repairs, damp proofing, or additional preparation work be required, we reserve the right to charge additional fees.
- Discovery of Issues: If issues are discovered after work has commenced (including but not limited to: uneven substrates, moisture problems, structural defects, or asbestos-containing materials), we will notify you immediately with a quotation for additional work.
- Customer Options: Upon notification, you may: (a) Accept additional charges and proceed, (b) Arrange third-party contractors for preparatory work, or (c) Cancel the flooring element (restocking charges apply).
- No Liability for Delays: We accept no liability for delays caused by floor preparation requirements not identified in the original survey.
31. Asbestos and Hazardous Materials
Unless explicitly stated in the quote, prices exclude work related to asbestos or hazardous materials. If discovered, work will cease immediately. Specialist contractors must be engaged at your cost. We accept no liability for resulting delays.
32. Building Regulations and Compliance
Unless specifically included in the quote, obtaining building regulations approval is your responsibility. Additional costs to meet unforeseen regulatory requirements will be charged separately. We will not commence regulated work without appropriate approvals.
33. Subcontractors and Material Substitution
We reserve the right to use subcontractors for any work. In case of material shortages/discontinuation, we may substitute with equivalent quality materials unless specific brands are contractually guaranteed in the quote. We will notify you of significant substitutions.
34. Retention and Defects Liability Period
Unless otherwise specified in the quote or contract, no retention monies shall be held by the customer. Our defects liability period is limited to 3 months from practical completion for workmanship issues only. This does not affect your statutory rights regarding faulty goods.
35. Installation and Fitting Services
- Site surveys will be conducted where necessary before installation.
- Any structural modifications required will be quoted separately.
- You must obtain any necessary planning permissions or approvals.
- Installation dates are estimates and may be subject to weather conditions.
- Access to the installation site must be safe and unobstructed.
36. Sizing, Personalization and Custom Work
- Size charts must be consulted where provided before ordering.
- We cannot guarantee exact fit as sizing may vary between manufacturers.
- Sample garments are available for fitting upon request where applicable.
- All personalization details must be provided clearly and accurately.
- We will confirm personalization details before production where practical.
- Errors in supplied text or specifications are not our responsibility.
- Personalized, custom-made, or printed items cannot be returned unless faulty.
- Minimum order quantities may apply for certain decoration methods or products.
- Rush orders may be accommodated at additional cost subject to availability.
- When cutting materials to specified dimensions, industry-standard manufacturing tolerances of 1-2mm may occur due to the nature of cutting equipment and processes. Such dimensional variations are considered normal and acceptable, falling within recognized trade standards. These tolerances shall not be deemed a defect, non-conformity, or breach of contract, and the Customer accepts that materials delivered within these tolerances meet the contractual requirements in full.
37. Quality, Color and Finishing
- Colors may vary between screen display and final product due to different color systems.
- Pantone color matching is available at additional cost where technically possible.
- Weather resistance varies by material and is not guaranteed unless specifically stated.
- UV resistance and lifespan estimates are based on normal external conditions.
- Photo quality depends on the resolution and quality of supplied images.
- We cannot improve poor quality source images.
- Some products have size and design limitations which will be advised.
- Fading or deterioration due to normal weathering or use is not covered by warranty.
38. Specialist Services
38.1 Electrical Work
- All electrical work will be carried out by qualified electricians
- Certification will be provided where specified in the quote
- Work will comply with current regulations (BS 7671)
38.2 CCTV Installation
- Systems will be installed in compliance with data protection laws
- Appropriate signage will be provided
- Training on system operation will be included where specified
38.3 Planning Permission
- We can assist with planning applications but cannot guarantee approval
- You remain responsible for compliance with planning conditions
- Additional fees for planning applications are payable directly to authorities
39. Disposal Services
- We will dispose of waste in accordance with environmental regulations.
- Hazardous materials must be identified before work commences.
- Additional charges may apply for specialist disposal requirements.
- Waste transfer notes will be provided where required.
40. Maintenance and Aftercare
- Regular maintenance is recommended to ensure longevity and safety of installed items.
- Maintenance contracts are available upon request.
- Emergency call-out services are available at standard rates.
- Refrigeration Service Response: For any refrigeration issues, we will respond within 72 hours (3 business days, Monday to Friday, excluding bank holidays). "Response" means initial contact and assessment, not completion of repairs. Response is provided during business hours only. We shall not be liable for any losses, damages, or costs arising during the response period or any subsequent repair delays. Response times may be extended due to circumstances beyond our reasonable control, including force majeure events, site access issues, or customer-caused delays.
- We are not liable for damage caused by vandalism, misuse, or extreme weather conditions.
- Care labels and instructions must be followed to maintain warranty validity.
- We are not responsible for failures due to improper care or maintenance.
Part 5: Final Provisions
41. Amendments
We reserve the right to amend these Terms & Conditions. The version in force at the time of your Order will apply to your Contract.
42. Severability
If any provision of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
43. Entire Agreement
These Terms & Conditions constitute the entire agreement between the parties and supersede all previous agreements, understandings, and representations.
44. Third Party Rights
No third party shall have any rights under this Contract.
45. Notices
Any notices required under these Terms & Conditions must be in writing and sent to the registered address or email address of the relevant party.
